1. general / contractual partner / scope / contract language
1.1 The following General Terms and Conditions apply exclusively to entrepreneurs in the sense of § 14 BGB. The contractual partners within the scope of the following General Terms and Conditions are ALBERT Ladenausstattung AG in Mahdentalstrasse 104, 71065 Sindelfingen (hereinafter referred to as "ALBERT") and the customer.
1.2 Füour deliveries and services in connection with this online-shop are exclusively subject to these general terms and conditions; we only accept customer's general terms and conditions of purchase that contradict or deviate from our general terms and conditions insofar as we have expressly agreed to them in writing. They shall also have no effect if we have not objected to them in individual cases. The contract language is German.
1.3 The assignment of claims against us to third parties is excluded. § 354a HGB remains unaffected.

2.1 Our offers are subject to confirmation. The offers of ALBERT on our internet pages or in the catalogue represent a non-binding invitation to the customer to order goods from ALBERT.
2.2 By ordering the desired goods, by filling in and sending the order form on the Internet, by e-mail, by fax, by telephone or by post, the customer makes a binding offer to conclude a purchase contract.
2.3 ALBERT can accept this offer within a period of seven calendar days by sending an order confirmation or the ordered goods. The order confirmation will be sent by e-mail, post or fax. After fruitless expiry of the deadline, the offer shall be deemed rejected.
2.4 If the customer has chosen the payment method PayPal, the contract is concluded at the time of confirmation of the payment order to PayPal, if the customer has chosen the payment method Immediately, the contract is concluded at the time of confirmation of the payment order to SOFORT GmbH.
3.1 All prices quoted are exclusive of the applicable statutory value added tax (currently 7 or 19 percent) and do not include packaging or shipping costs at the time of order.
3.2 For orders from this online shop we charge a separate flat rate for packaging and shipping per order and per delivery address. The amount of the shipping costs can be found in the shipping costs overview (https://www.joh-albert.de/versandkosten) and are again clearly stated in the shopping cart system and on the order page.
3.3 All prices quoted, including the flat shipping rate, are valid only at the time of order. With updating of the Internet sides all previous prices and other data become invalid ül;about goods.
3.4 Additional services and special agreements, especially assembly work or supply with own vehicles, always require a separate agreement and will be charged separately.
4. terms of payment

If you choose the payment method prepayment we will give you our bank details in the order confirmation and deliver the goods after receipt of payment.
When you place your order, you also provide us with your credit card details. After your legitimation as a legitimate cardholder, we will request your credit card company to initiate the payment transaction immediately after the goods have been shipped. The payment transaction is automatically carried out by the credit card company and your card is debited.
By submitting your order you grant us a SEPA Direct Debit Mandate. We will inform you about the date of the account debit on the invoice (so-called prenotification). By submitting the SEPA Direct Debit Mandate, we request our bank to initiate the payment transaction. The payment transaction is automatically processed and your account debited. The account is debited after you have received the goods.
PayPal During the order process you will be redirected to the website of the online provider PayPal. In order to be able to pay the invoice amount via PayPal, you must be registered there or register first, legitimize with your access data and confirm the payment instruction to us. After placing the order in the shop, we request PayPal to initiate the payment transaction. You will receive further information during the ordering process. The payment transaction will be carried out automatically by PayPal immediately afterwards.
Payments must be made within 8 days with 2% discount or 20 days without deduction from the invoice date. For the punctuality of the payment it depends on the entrance of the money with us.
After placing your order you will be redirected to the website of the online provider SOFORT Übank transfer. In order to be able to pay the invoice amount via Sofort., you must have an online banking account with PIN/TAN procedure which has been activated for participation in Sofort Ütransfer immediately, legitimise yourself accordingly and confirm the payment order to us. You will receive further information during the ordering process. The payment transaction will be carried out immediately afterwards and your account will be debited.
Cash on delivery
You pay cash on receipt of the goods against increased cash on delivery fee of the parcel service.
5th Terms of Delivery / Overnight Service / Express Service
5.1 Delivery shall be made by ALBERT ex warehouse Sindelfingen or ex warehouse of a supplier on behalf of ALBERT to the delivery address provided by the customer. Pallet deliveries or shipments by freight forwarder are carried out "free kerbstone edge". Additional services and special agreements, in particular assembly work, require a separate agreement.
5.2 If, contrary to expectations, a product ordered by the customer is not available despite timely disposition for reasons for which ALBERT is not responsible, ALBERT shall immediately inform the customer of the non-availability and, in the event of withdrawal, immediately reimburse any payments already made to the customer.
5.3 Insofar as ALBERT is in default of delivery for reasons for which it is responsible or if a delivery becomes impossible and this is not due to intent or gross negligence, liability for damages based on default is excluded. Any further claims of the customer shall remain unaffected.
5.4 Based on delays in delivery for reasons for which ALBERT is not responsible (force majeure, fault of third parties, etc.).a.) the deadline will be reasonably extended.
5.5 All available items will be sent – if your order arrives before 12.00 o'clock – the same working day to you. Möbel, personalized products with advertising and other individually for you manufactured products are excluded from it, we confirm to you after receipt of order the announced delivery week for your order.
5.6 On request, we instruct for parcel shipments within Germany an express delivery until the next working day before 12.00 clock. Prerequisites for the express delivery are the availability of the ordered articles in our warehouse and the receipt of order before 14.00 o'clock. The additional flat rate for the order of express delivery is € 10,- per parcel. In the event of late delivery despite an express delivery order, we will credit the express surcharge to your customer account. Express deliveries to packing stations or places of deposit are not possible. Express delivery is not a fixed transaction.
6th reservation of title
The ordered goods remain the property of ALBERT.

7.1 The customer's claims against ALBERT in the event of defects shall be governed by the statutory provisions within the statutory periods, unless the following provisions result in deviations.
7.2 damage caused by improper or contractually contrary measures of the customer during installation, connection, operation or storage do not constitute grounds for a claim against ALBERT. The impropriety and non-conformity with the contract shall be determined in particular according to the information provided by the manufacturer or ALBERT.
7.3 In case of obvious defects and transport difficulties, the customer is requested to report these immediately to ALBERT and to note them in writing on the papers of the deliverer.
7.4 For reasons of production technology, personalized products with advertising can be delivered up to 10 percent more or less and therefore do not represent a defect for which ALBERT is responsible.
7.5 &"Changes in the sense of technical progress or insignificant changes in shape and colour do not represent a defect for which ALBERT is responsible.
8.1 Data processing is carried out in accordance with the relevant data protection regulations.
8.2 All data received from the customer are exclusively collected, processed, used, stored and forwarded to commissioned partners, insofar as this is necessary for the establishment and contractual performance of the purchase contract and the further business relationship between the customer and ALBERT, insofar as consent has been given, and for compliance with legal storage and documentation obligations.
9. ineffective clauses / jurisdiction / applicable law
9.1 Should any of the above provisions be invalid, the validity of the contract shall not be affected. The parties will conclude a regulation loophole caused by invalidity by a joint agreement which comes as close as possible to the invalid regulation in economic and legal terms.
9.2 If the customer is a merchant, legal person under public law or special fund under public law, Stuttgart shall be the exclusive place of jurisdiction for all disputes arising directly or indirectly from the contractual relationship. The same applies if the customer is domiciled abroad.
9.3 FüGerman law applies to the conclusion and execution of all contracts. The validity of the UN Convention on Contracts for the International Sale of Goods (CISG) is excluded.
